Extraordinary Announcement of 4iG Plc.

On the sale of the 100% quotas in MIS OMEGA Kft.

4iG Public Limited Company (“4iG”) hereby informs the participants of the capital market that the sale and purchase agreement concluded for the sale of 100 % quotas of MIS Omega Mobilhálózat Korlátolt Felelősségű Társaság (registered office: 1134 Budapest, Váci út 35; company registration number: 01-09-415402; “MIS Omega”), which is subsidiary of "ANTENNA HUNGÁRIA" Magyar Műsorszóró és Rádióhírközlési Zártkörűen Működő Részvénytársaság (registered office: 1119 Budapest, Petzval József u. 31-33.; company registration number: 01-10-042190) – of which the 4iG is the qualified majority owner – (“Transaction”) has been signed and closed today, thus Pro-M Professzionális Mobilrádió Zártkörűen Működő Részvénytársaság (“Pro-M”) became the 100% direct owner of MIS Omega. The consideration for the Transaction, worth HUF 68 billion in total, in addition to the purchase price also includes the costs of the one-year operation required by Pro-M and the costs of the construction of the new core network for the tower infrastructure. As part of the Transaction, Pro-M will pay the purchase price in three instalments until 31 July 2024.
